BOARD MEMBER JOB DESCRIPTION
YELLOWSTONE BUSINESS PARTNERSHIP
The board of directors is the governing body of the Yellowstone
Business Partnership (Partnership) with major responsibility for
developing and promoting the mission, programs and image of the
organization. It has the ultimate authority in determining
the direction of the Partnership; it is accountable for the fiscal well
being of the organization; and it is responsible for the selecting the
executive director and for evaluating his/her performance in
administering the organization. The board must assure compliance with
the laws and charter of the Partnership and provide the policy
framework for strategic planning, fundraising and administration. The
board also must be accountable to the membership it represents by
assessing organizational effectiveness, regularly evaluating its own
performance, and ensuring its own replacement over time.
Fundraising - Each board member is expected to assist the Executive
Director and Development Committee in achieving the revenue goals of
the Partnership. According to the bylaws, all directors must
be current, dues-paying members of the organization. A
personal/business contribution of at least $500 is expected from those
who are able. Directors will help identify potential members and major
donors, arrange for introductory meetings with foundation or corporate
prospects, and help organize and attend fundraising and membership
events in their vicinity.
Organizational Oversight - Because the board of directors is the legal
authority for the organization, each director is responsible for
understanding the mission, values, program goals, and fiscal status of
the Partnership. Periodic evaluation of executive director
performance and staff management also is essential, as is annually
critiquing the board's collective performance. The board of
directors is directly accountable to the membership by election, so
ensuring regular communication and interaction with members is
critical.
Committee Service - Each board member is expected to serve on at least
one board committee: Nominating, Finance, Development, Outreach or
Program. The four officers comprise the Executive Committee,
which handles internal governance and personnel matters and can make
decisions on behalf of the full board between regularly scheduled
sessions.
Terms and Meeting Attendance – Each director is elected for a
three-year term beginning each May, and no director may serve more than
two consecutive terms. The board meets three times per year.
